( 1 )The exercise and sale of shares by Reporting Person were done during an open trading period.
( 2 )The option to purchase 7,500 shares of common stock was awarded on April 27, 2011 under the Amended and Restated SunEdison 2010 Equity Incentive Plan and becomes exercisable at an exercise price of $11.63 in increments of 10%, 20%, 30% and 40% on April 27, in the years 2012, 2013, 2014 and 2015, respectively.
