( 1 )The reporting person acquired an additional 388,504 shares of the issuer's Common Stock pursuant that certain Asset Purchase Agreement dated September 7, 2016, between the issuer and its wholly-owned subsidiary Western State Design, Inc., a Delaware corporation, on the one hand, and reporting person and its members, Dennis Mack and Thomas Marks, on the other hand.
