Explanation of Responses:
( 1 )The price is the weighted average sale price of the aggregate number of shares that were sold. These shares were sold in multiple transactions at prices ranging from $64.35 to $64.40. The reporting person undertakes to provide to the issuer, any security holder of the issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price.
( 2 )These shares (the "Trust Shares") were a gift from Eric M. Kirsch to the Eric M. Kirsch Irrevocable Trust Agreement (the "Spousal Trust"). The trustee of the trust is Mr. Kirsch's spouse. The primary beneficiary of the spousal trust is Mr. Kirsch's spouse, and the secondary beneficiaries are his children. Mr. Kirsch disclaims Section 16 beneficial ownership of the Trust Shares, and this report shall not be deemed an admission that he is the beneficial owner of the Trust Shares, except to the extent of his pecuniary interest, if any, therein.
