( 1 )Warrants issued in exchange for one year lock-up of reporting person's common stock of the company, par value $0.0001 per share, and the payment of $0.125 per warrant. ( 2 )The Shares are held of record by Intelmed LLC ("Intelmed"). Ms. Lewis-Hall is the Managing Director of Intelmed and in such capacity has voting and investment discretion with respect to the Shares held of record by Intelmed. By virtue of this relationship, Ms. Lewis-Hall may be deemed to share beneficial ownership of the Shares held of record by Intelmed. Ms. Lewis-Hall disclaims any such beneficial ownership except to the extent of her pecuniary interest therein.
