Explanation of Responses:
( 1 )Each restricted stock unit represents a contingent right to receive one share of Class A Common Stock
( 2 )The time-based restricted stock units shall vest and become nonforfeitable with respect to twenty-five percent (25%) of the total number of restricted stock units on each of the first, second, third and fourth anniversaries of the grant date.
( 3 )Each performance-based restricted stock unit represent a contingent right to receive one share of Class A Common Stock. Such performance-based restricted stock units will vest upon the Issuer's Class A common stock achieving a specified price per share.
( 4 )The performance-based restricted stock units shall be earned and become vested based on the achievement of the stock price target set at $13 per share of Issuer's Class A common stock prior to the expiration of a three-year performance period beginning on the date of grant (the "Performance Period"). Upon achievement of the stock price target, 50% of the performance-based restricted stock units shall vest, and the remaining 50% shall vest on the earlier of a) one-year from date of achievement or b) the end of the Performance Period.
