Explanation of Responses:
( 1 )This Form 4 reflects the purchase of an aggregate of 150,000 units by the reporting person directly from the initial public offering of the Issuer ("IPO") at offering price of $10.00 per each. The IPO was closed on January 12, 2021. Each unit consists of one Class A ordinary share, $0.0001 par value, and one-fifth of one redeemable warrant to acquire one Class A ordinary share. Such units are subject to 180-day customary lock-up agreements.
( 2 )The warrants will become exercisable on the later of 30 days after the completion of our initial business combination; and twelve months from the closing of the IPO.
