( 1 )Each share of Series A Convertible Preferred Stock is convertible into shares of the Issuer's common stock, par value $0.00001 per share ("Common Stock"), on a 10.067-for-1 basis and has no expiration date. The Series A Convertible Preferred Stock will automatically convert into Common Stock immediately prior to the closing of the Issuer's initial public offering.
( 2 )Shares held by J.W. Childs Associates (FL), L.P. John W. Childs 2013 Revocable Trust is the sole owner of J.W. Childs Associates (FL), L.P. The Reporting Person, a member of the board of directors of the Issuer, is Trustee of John W. Childs 2013 Revocable Trust and may be deemed to hold voting and dispositive power with respect to these securities.
( 3 )Each share of Series B Convertible Preferred Stock is convertible into shares of the Issuer's Common Stock on a 10.067-for-1 basis and has no expiration date. The Series B Convertible Preferred Stock will automatically convert into Common Stock immediately prior to the closing of the Issuer's initial public offering.
( 4 )Each share of Series C Convertible Preferred Stock is convertible into shares of the Issuer's Common Stock on a 10.067-for-1 basis and has no expiration date.
