( 1 )Acquired dividend equivalents in the form of Restricted Share Units ("RSUs"), which are subject to the same terms and conditions as the underlying equity granted to the recipient on October 4, 2021, as a Director Founders' Award. The underlying RSUs and dividend equivalents received thus far are fully vested. Upon the Director's end of service, vested RSUs will settle in shares of common stock on a one-for-one basis and vested fractional shares will be paid out in cash.

The underlying RSUs vest in four equal installments. The first quarter vested on August 31, 2023, the second quarter on November 30, and the remaining installments vest on February 29, 2024, and May 31, 2024, subject to the Director's continued service through such dates. Upon the Director's end of service, vested RSUs will settle in shares of common stock on a one-for-one basis and vested fractional shares will be paid out in cash.
