( 1 )Represents 2,000 shares of Class A common stock included in 2,000 units purchased by Hassan R. Baqar. Each unit comprises one share of Class A common stock and one-half of one warrant.
( 2 )The reporting person effected multiple same-way open market purchase transactions on the same day at different prices through a trade order executed by a broker-dealer. The reporting person reported on a single line all such transactions that occurred within a one-dollar price range. The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $10.98 to $11.09, inclusive. The reporting person hereby undertakes to provide upon request by the Securities and Exchange Commission staff, the issuer, or a shareholder of the issuer, full information regarding the number of shares purchased at each separate price.
( 3 )The reporting person effected multiple same-way open market purchase transactions on the same day at different prices through a trade order executed by a broker-dealer. The reporting person reported on a single line all such transactions that occurred within a one-dollar price range. The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $10.17 to $10.18, inclusive. Remarks:
The purpose of this amendment is to correct a clerical error included in the original filing in footnotes 2 and 3, which now clarify that the reported securities were purchased. No other changes to the original filing have been made.
