( 1 )On January 7, 2022, FinTech Masala Advisors IV, LLC ("Masala") and FinTech Investor Holdings IV, LLC ("Holdings") distributed certain of their holdings of the Issuer's Class A Common Stock and Warrants to their members. ( 2 )Represents shares held directly by Holdings and Masala, each of which is managed by Cohen Sponsor Interests IV, LLC ("Manager"). FinTech Masala, LLC ("Masala LLC") is the sole member of Manager. FinTech Masala Holdings, LLC ("Masala Holdings") is the sole member of Masala LLC. As a result, each of Manager, Masala LLC, and Masala Holdings shares voting and investment power over the shares held directly by Holdings and Masala.
