( 1 )The shares reported on this Form 3 are subject to a lock-up agreement between the reporting person and Citigroup Global Markets Inc. and Evercore Group L.L.C. dated February 19, 2021 pursuant to which the shares reported in Table I of this Form 4 are restricted for a 90 day period.
