Explanation of Responses:

( 1 )The reporting person beneficially owns directly 4,588,876 shares and beneficially owns indirectly 3,354,978 shares held by a fund for joint account (the "fund"), which prior to the transaction reported herein was wholly owned by the reporting person. On July 25, 2023, the reporting person made a revocable gift to his three minor children, in equal proportions, of his ownership interest in such fund. The reporting person continues to have sole control of such fund and remains the indirect beneficial owner of the shares owned by such fund.
