Explanation of Responses:
( 1 )Reflects a grant of restricted stock units ("RSUs") made to the Reporting Person on March 15, 2022 under the Issuer's Non-Employee Director Compensation Program (such grant, the "2022 RSU Grant"), as reported in Table II on the Reporting Person's Form 4 filed with the Securities and Exchange Commission on March 18, 2022. Each RSU represents a contingent right to receive one share of the Issuer's common stock, par value $0.001 per share ("Common Stock"). Of the RSUs awarded to the Reporting Person under the 2022 RSU Grant, one-third vested on March 15, 2023, and an additional one-third vests on each of March 15, 2024 and March 15, 2025, subject to the Reporting Person's continued service as a director on the Company's board of directors through each such vesting date.
( 2 )Reflects shares of Common Stock sold to cover the Reporting Person's tax liability in connection with the vesting of the RSUs underlying the 2022 RSU Grant.
( 3 )Reflects the weighted average price at which the shares of Common Stock were sold. The RSUs vest on the earlier of June 8, 2024 and the date of the Issuer's 2024 annual meeting of stockholders, subject to the Reporting Person's continued service as a director on the Company's board of directors through such vesting date.
