( 1 )The Series A Convertible Preferred Stock is convertible at any time and has no expiration date. Series A Convertible Preferred Stock is automatically converted into common stock, at the then effective conversion rate, upon (a) the closing of the sale of shares of common stock to the public at a price of at least $5.00 per share, in a firm-commitment underwritten public offering pursuant to an effective registration statement under the Securities Act of 1933, as amended, resulting in at least $30,000,000 of proceeds, net of the underwriting discount and commissions or (b) the date and time, or the occurrence of an event, specified by vote or written consent of the holders of at least a majority of the then outstanding shares of Series A Preferred Stock.
( 2 )Currently, the issuer's Series A Convertible Preferred Stock converts into the issuer's common stock on a one-for-one basis. However, each share of the issuer's Series A Convertible Preferred Stock will convert into more than one share of the issuer's common stock in the event that the issuer sells certain securities at a price per share that is less than the conversion price, which is currently set at $1.00 per share.
