( 1 )The aggregate number of shares (the "Shares") of Issuer's common stock purchased by Reporting Person on the same day at different prices.
( 2 )Represents the weighted average purchase price. The Shares were purchased at prices ranging from $32.00 to $32.41 per share. Full information regarding the number of Shares purchased at each price shall be provided to the Securities and Exchange Commission staff (the "Staff"), Issuer or any security holder, upon request.
( 3 )Reporting Person beneficially owns an aggregate of 11,795,600 common stock equivalents, including 2,802,890 shares of common stock, 8,122,934 partnership common units ("OP Units"), and 869,776 long term incentive plan units ("LTIPs") of Douglas Emmett Properties, LP (the "Operating Partnership"). Issuer is the sole stockholder of the general partner of the Operating Partnership. Upon vesting and certain additional criteria, LTIPs may be converted into OP Units and, upon the occurrence of certain events, OP Units are redeemable and may be exchanged without consideration by the holder for an equivalent number of shares of Common Stock or for the cash value of such shares, at Issuer's option.
