Explanation of Responses:
( 1 )In connection with the acquisition of Sun Life Assurance Company of Canada (U.S.) ("SLUS") by Delaware Life Holdings, LLC on August 2, 2013, its wholly-owned subsidiary, Sun Life Insurance and Annuity Company of New York ("SLNY"), entered into an Investment Management Agreement ("IMA") with Guggenheim Partners Investment Management, LLC ("GPIM") dated August 2, 2013. Pursuant to the IMA, SLNY retained GPIM to manage its investments, including the Mandatory Redeemable Preferred Shares, Series A ("Shares"), held for SLNY's account and reported herein. Upon entering into the IMA, SLNY delegated complete beneficial ownership, as defined for purposes of Section 13(d) of the Securities and Exchange Act of 1934 ("Exchange Act"), to GPIM, and accordingly ceased to be subject to Section 16 of the Exchange Act with respect to the Shares.
( 2 )SLUS owns all of the outstanding common stock of SLNY and so, for purposes of Section 13(d) and Section 16 of the Exchange Act, is deemed to indirectly own any Shares directly owned by SLNY. Accordingly, once SLNY delegated complete beneficial ownership to GPIM and ceased to be subject to Section 16 of the Exchange Act with respect to the Shares, SLUS also ceased to be subject to Section 16 of the Exchange Act with respect to the Shares.
