Explanation of Responses:
( 1 )Represents Restricted Stock Units ("RSUs") that were granted on January 2, 2013 under TheStreet.com, Inc.'s (the "Company") 2007 Performance Incentive Plan as part of Christopher P. Marshall's compensation as a non-employee member of the Company's Board of Directors. Each RSU represents the right to receive one share of the Company's Common Stock. These RSUs will vest on January 2, 2014. Mr. Marshall has no voting or dispositive power, or beneficial or pecuniary interest in the RSUs, nor in the underlying shares of the Company's Common Stock.
( 2 )Subject to acceleration or forfeiture under certain circumstances.
( 3 )These RSUs are held by Christopher P. Marshall. Mr. Marshall has the sole voting and dispositive power over the shares; however, TCV VI Management, L.L.C. ("Management VI") owns 100% of the pecuniary interest therein. Jay C. Hoag, Richard H. Kimball, John L. Drew, Jon Q. Reynolds, Jr., and Robert W. Trudeau (collectively, the "Management VI Members") are members of Management VI, but each disclaims beneficial ownership of such RSUs and the underlying shares of the Company's Common Stock except to the extent of their respective pecuniary interests therein. Mr. Marshall has no beneficial ownership or pecuniary interest in such RSUs and the underlying shares of the Company's Common Stock.
( 4 )These RSUs are held directly by Management VI. The Management VI Members are members of Management VI, but each disclaims beneficial ownership of such RSUs and the underlying shares of the Company's Common Stock except to the extent of their respective pecuniary interests therein. Mr. Marshall has no beneficial ownership or pecuniary interest in such RSUs and the underlying shares of the Company's Common Stock.
( 5 )Mr. Marshall has the sole voting and dispositive power over the options he holds directly; however, Management VI has a right to 100% of the pecuniary interest in such options. Jay C. Hoag, Richard H. Kimball, John L. Drew, Jon Q. Reynolds, Jr., and Robert W. Trudeau are members of Management VI, but each disclaims beneficial ownership of such options or the shares to be received upon the exercise of such options except to the extent of their respective pecuniary interest therein. Mr. Marshall has no beneficial ownership or pecuniary interest in such options or the shares to be received upon the exercise of such options.
