Explanation of Responses:
( 1 )Acquired performance-based restricted stock units granted to the Reporting Person on February 28, 2020, as determined by the performance period beginning on the first day of the Company's 2020 fiscal year and ending on the last day of the Company's 2022 fiscal year, following subsequent financial approval of the payout percentage for the grant based on performance criteria. The payout percentage for the grant based on performance goals was 196%.
( 2 )5143 restricted stock units became fully vested on 2/28/2023, of which 2300 were converted to cash to satisfy tax withholding obligations. Tax withholding was calculated pursuant to performance criteria for period ending on the last day of December 31, 2022.
( 3 )Each RSU represents the right to receive, following vesting, one share of Common Stock.
( 4 )Unless earlier forfeited under the terms of the RSU, 33-1/3% of the awards vest and convert into Common Stock on each anniversary of the grant date.
