Bleichroeder LP ("Bleichroeder"), an investment adviser registered under Section 203 of the Investment Advisers Act of 1940, is deemed to be the beneficial owner of 80,000 shares, or 6.86%, of the common stock (the "Common Stock") of Ernexa Therapeutics, Inc. (the "Issuer") reported as outstanding. Bleichroeder is the beneficial owner of Common Stock and warrants subject to a 4.99% limitation on the exercise of such warrants. If there was no 4.99% limitation on the exercise of such warrants, Bleichroeder would be deemed to be the beneficial owner of 160,000 shares of Common Stock, consisting of 80,000 shares of Common Stock and 80,000 shares of Common Stock issuable upon exercise of the warrants subject to a 4.99% limitation, representing approximately 12.84% of the Issuer's outstanding shares of Common Stock.
