The ownership information below represents beneficial ownership of shares of Class A Common Stock as of December 31, 2021, based upon 39,929,863 shares of Class A Common Stock outstanding as of November 2, 2021 based on the Issuer’s quarterly report on Form 10-Q filed with the Securities and Exchange Commission on November 4, 2021. The ownership information assumes the conversion of the Common Units (“Common Units”) of Funko Acquisition Holdings, L.L.C. held by the Reporting Person into shares of Class A Common Stock of the Issuer on a one-to-one basis.

The Reporting Person is the record holder of 53,451 shares of Class A Common Stock, 2,328,206 Common Units, and 463,265 options that are currently exercisable or will become exercisable within 60 days of December 31, 2021.

(collectively, the “ACON Funds”), Fundamental Capital, LLC and Funko International, LLC. The beneficial ownership reported herein for the Reporting Person does not include any shares held by any other parties to the Stockholders Agreement, and the Reporting Person disclaims beneficial ownership of any such shares.
