Gragson Data SS, LLC (the “LLC”) directly holds 4,746,531 shares of Class A common stock of the Issuer.

 

Mr. Gragson, as manager of the LLC, has voting and dispositive power of the Shares subject to a voting agreement in favor of the pledgee of the Shares and may be deemed to beneficially own the Shares held by the LLC. However, neither the filing of this Schedule 13G nor any of its contents shall be deemed to constitute an admission that Mr. Gragson is the beneficial owner of the Shares for purposes of Section 13(d) of the Securities Exchange Act of 1934, as amended, or for any other purpose and Mr. Gragson expressly disclaims beneficial ownership of such Shares. The filing of this statement should not be construed to be an admission that any Reporting Person is a member of a “group” for the purposes of Sections 13(d) or 13(g) of the Act.
