This Amendment No. 5 to the Schedule 13D (this “Amendment No. 5”) relates to the common stock, par value $0.01 per share (the “Common Stock”), of Capital Senior Living Corporation, a Delaware corporation (the “Issuer”), and amends the Schedule 13D filed by the Reporting Persons (as defined below) on March 25, 2021 (the “Original Schedule 13D”), as amended by each of Amendment No. 1 filed on June 9, 2021 (“Amendment No. 1”), Amendment No. 2 filed on August 9, 2021 (“Amendment No. 2”), Amendment No. 3 filed on August 12, 2021 (“Amendment No. 3” ), and Amendment No. 4 filed on September 15, 2021 (“Amendment No. 4”, and together with the Original Schedule 13D, Amendment No. 1, Amendment No. 2 and Amendment No. 3, the “Schedule 13D”). Any capitalized terms used and not defined in this Amendment No. 5 have the meanings set forth in the Schedule 13D.

This Amendment No. 5 is being filed on behalf of: (i) Pangaea Ventures, L.P., a Delaware limited partnership (“Pangaea”); (ii) Ortelius Advisors, L.P., a Delaware limited partnership (“OA”); and (iii) Peter DeSorcy (“Mr. DeSorcy”, and, together with Pangaea and OA, the “Reporting Persons”).

Since the date of Amendment No. 4, OA delivered a demand for inspection of the Issuer’s books and records pursuant to Section 220 of the Delaware General Corporation Law. This Amendment No. 5 is being filed to amend Item 4 of the Schedule 13D to reflect that development. Except as amended hereby, all statements and disclosures in the Schedule 13D remain accurate as of the date of this Amendment No. 5.

Item 4.Purpose of Transaction

Item 4 of the Schedule 13D is hereby amended to add the following:

On October 8, 2021, OA submitted a books and records request (the “Books and Records Request”) pursuant to Section 220 of the Delaware General Corporation Law in order to gather information regarding potential mismanagement, breaches of fiduciary duty and/or malfeasance by the Issuer’s management and/or members of the Issuer’s Board of Directors (the “Board”), including the Transaction Committee of the Board, and potential breaches of the duty of disclosure, in connection with the Issuer’s (i) review of potential capital raising and other financing alternatives from 2019 to 2021, (ii) entry into various transactions with affiliates of Conversant Capital LLC, Silk Partners, LP, and Arbiter Partners QP, LP, and others, and (iii) solicitation of stockholder votes relating to such transactions and related agreements at the Issuer’s special meeting of stockholders scheduled for October 22, 2021 (the “Special Meeting”). As set forth in the Books and Records Request, OA believes that the Issuer’s public disclosures regarding these matters are significantly misleading, and omit material information necessary for stockholders to make an informed decision with respect to the Company’s proposals at the Special Meeting and to determine whether the Issuer’s directors have properly observed their fiduciary duties. The full text of the Books and Records Request is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
