The following constitutes Amendment No. 5 to the Schedule 13D filed by the undersigned (“Amendment No. 5”). This Amendment No. 5 amends the Schedule 13D as specifically set forth herein.

Item 4.Purpose of the Transaction.

Item 4 is hereby amended to add the following:

On March 5, 2020, the Reporting Persons and the Issuer entered into a letter agreement (the “Settlement Agreement”). Pursuant to the Settlement Agreement, simultaneously upon execution of the Settlement Agreement, the Issuer agreed that the Board of Directors of the Issuer (the “Board”) shall (i) cause the resignations of Sid Ganis and Jonathan Visbal from the Board, (ii) increase the size of the Board by one director, and (iii) appoint each of Stephen Domenik, Franz Fink and Eric Singer (each, a “VIEX Designee” and, together, the “VIEX Designees”) as new members of the Board to fill the resulting vacancies, effective as of March 9, 2020. In addition, the Issuer agreed to hold its 2020 annual meeting of stockholders (the “2020 Annual Meeting”) no later than June 30, 2020, and to nominate the VIEX Designees (or any replacements thereof) for election as directors, and will recommend that its stockholders vote, and will solicit proxies, in favor of the election of the VIEX Designees at the 2020 Annual Meeting in the same manner in which it supports its other director nominees.

Pursuant to the Settlement Agreement, the Issuer agreed to cause the Board to form a strategy committee (the “Strategy Committee”), which will review, evaluate and make recommendations to the Board regarding the Issuer’s corporate strategy, capital allocation, cost structure, business opportunities and related matters. In addition, the Strategy Committee shall adopt a charter as promptly as practicable following its formation and shall consist of no more than three members during the Restricted Period (defined below), including Stephen Domenik, William Martin and Eric Singer. Further, during the Restricted Period, each of Stephen Domenik and Eric Singer shall also be appointed to the compensation committee of the Board, which committee shall consist of no more than three members and William Martin shall serve as Chair, and at least one VIEX Designee will be appointed to each of the Board’s other committees. Pursuant to the Settlement Agreement, the Reporting Persons also have customary replacement rights in the event any of the VIEX Designees cease to be a member of the Board during the Restricted Period.

Pursuant to the Settlement Agreement, upon the appointment of the VIEX Designees to the Board, the Reporting Persons agreed to withdraw their notice of nomination of director candidates for election to the Board at the Issuer’s 2020 Annual Meeting. In addition, the Reporting Persons agreed to vote their shares with the recommendations of the Board at each annual or special meeting of stockholders or action by written consent during the Restricted Period, subject to certain exceptions. The Reporting Persons are also subject to customary standstill obligations from the date of the Agreement until 30 days prior to the deadline for stockholder nominations at the 2021 annual meeting of stockholders (the “Restricted Period”).
