Item 4                                                            Ownership.

 

The 7,189,480 shares of Common Stock reported as beneficially owned by Vertex One and John Thiessen are all shares held by persons in respect of which Vertex One acts as fund manager; Mr. Thiessen is the principal of Vertex One with discretionary control over the assets of such persons.  Vertex One is a corporation formed and operating under the laws of British Columbia, Canada.

 

The approximate percentages of shares of common stock reported as beneficially owned by the Reporting Persons are based upon 53,300,332 shares of Common Stock outstanding as of November 13, 2017 based on the Issuer’s Form 10-Q for the quarterly period ended September 30, 2017 filed with the Securities and Exchange Commission on November 14, 2017.
