As of December 31, 2019 (the “Event Date”), Abingworth LLP (“Abingworth”) may be deemed to beneficially own an aggregate of 890,817 shares of Common Stock of the Issuer. The number of shares of Common Stock reported above consists of (i) 370,671 shares of Common Stock held by Abingworth Bioventures V, LP (“ABV V”); and (ii) warrants to purchase 520,146 shares of Common Stock held by ABV V which were exercisable as of, or within 60 days of, the Event Date. Abingworth, as the investment manager of ABV V, may be deemed to beneficially own the 890,817 shares of Common Stock held by ABV V. As of December 31, 2019 (the “Event Date”), ABV V is the owner of record of (i) 370,671 shares of common stock (the “Common Stock”) of the Issuer; and (ii) warrants to purchase 520,146 shares of Common Stock which were exercisable as of, or within 60 days of, December 31, 2019. Abingworth, as the investment manager of ABV V, may be deemed to beneficially own the 890,817 shares of Common Stock held by ABV V.
