This Schedule 13D/A (“Schedule 13D/A”) amends the following sections of the Schedule 13D filed with the Securities and Exchange Commission on September 16, 2013, as amended on August 24, 2015, August 14, 2020 and August 17, 2020 (“Schedule 13D”).

 

Item 3. Source and Amount of Funds or Other Consideration.

 

Item 3 of Schedule 13D is supplemented and amended by the information below.

 

On November 17, 2020, February 9, 2021, May 11, 2021 and August 5, 2021, the Company awarded 7,277, 6,225, 10,000 and 30,061 shares of Common Stock, respectively, to the Reporting Person under the Company’s 2017 Omnibus Incentive Plan, as amended. On September 20, 2020, December 20, 2020, March 20, 2021 and June 20, 2021, the Reporting Person sold 7,500, 4,000, 4,250 and 3,400 shares of Common Stock, respectively, to the Company to cover taxes on vested restricted stock. On May 10, 2021 the Reporting Person gifted 18,000 shares of Common Stock to various parties. On June 18, 2021 the Reporting Person exercised warrants to purchase 6,000 shares of Common Stock. From July 6, 2021 through July 19, 2021, the Reporting Person sold 375,000 shares of Common Stock pursuant to a Rule 10b5-1 trading plan adopted by the Reporting Person on June 4, 2021.

Reference is made to the disclosure set forth under Item 3 of this Schedule 13D/A, which disclosure is incorporated herein by reference.

 

As of August 16, 2021, the Reporting Person beneficially owned 3,421,997 shares of Common Stock (the “Shares”), including 48,000 shares of Common Stock issuable upon the exercise of outstanding options within 60 days of August 16, 2021. Since 26,615,484 shares of Common Stock were outstanding as of August 16, 2021, the Shares constitute approximately 12.8% of the shares of Common Stock issued and outstanding.

 

The Reporting Person has the sole power vote or direct the vote of, and to dispose of or direct the disposition of all shares beneficially owned by the Reporting Person.

 

Transactions by the Reporting Person in Common Stock effected in the past 60 days are described in Item 3 above.
