WA is deemed to be the beneficial owner of 4,513,986 shares of Common Stock, par value $0.001 (“Common Stock”) issuable upon the exercise of certain 4.50% Convertible Senior Notes due 2024 and 1.25% Convertible Senior Notes due 2025 (collectively, the “Convertible Notes”) of the Issuer and deemed outstanding for purposes of calculating WA’s beneficial ownership.

WGP is deemed to be the beneficial owner of 4,513,986 shares of Common Stock issuable upon the exercise of Convertible Notes of the Issuer and deemed outstanding for purposes of calculating WGP’s beneficial ownership.

WA is deemed to beneficially own 7.6% of the Issuer’s Common Stock.

WGP is deemed to beneficially own 7.6% of the Issuer’s Common Stock.

Percent of class is calculated based on 54,815,202 shares of Common Stock outstanding as of November 1, 2019 as reported in the Issuer's Form 10-Q filed on November 7, 2019 and 4,513,986 additional shares of Common Stock issuable upon the exercise of Convertible Notes to purchase shares of Common Stock and deemed outstanding for purposes of calculating the Reporting Persons' beneficial ownership.
