Explanatory Note:

This Amendment No. 3 (this “Amendment No. 3”) amends and supplements the statement on Schedule 13D filed with the Securities and Exchange Commission (the “SEC”) by Rexgene Biotech Co., Ltd., a Korean corporation (“Rexgene”) on May 23, 2005, as amended by Amendment No. 1 to such Schedule 13D filed with the SEC on November 30, 2007 and Amendment No. 2 to such Schedule 13D filed with the SEC on December 26, 2007.

This Amendment No. 3 is filed with respect to the common stock, par value $0.0001 per share (the “Common Stock”), of Rexahn Pharmaceuticals, Inc., a Delaware corporation (the “Issuer”), to reflect information required by Rule 13d-2 under the Securities and Exchange Act of 1934, as amended, with respect to Rexgene’s beneficial ownership of the Common Stock.  The Issuer’s principal executive office is located at 15245 Shady Grove Road, Suite 455, Rockville, MD 20850.

Item 4.
Purpose of Transaction.

This Amendment No. 3 relates to the following transactions:

 
—
the receipt by Rexgene of 238,095 shares of Common Stock, and warrants to purchase 102,041 shares of Common Stock, that Rexahn issued to Rexgene on June 5, 2009 without consideration in satisfaction of certain antidilution protections accorded to Rexgene in connection with its purchase from Rexahn of Common Stock and warrants in a private placement consummated in December 2007; and

 
—
the sale by Rexgene of a total of 555,000 shares of Common Stock in open market transactions during the period from September 3, 2009 to September 9, 2009.

The shares of Common Stock beneficially owned by Rexgene are held as part of Rexgene’s investment strategy.  Rexgene intends to optimize the value of its investments and, therefore, will review from time to time Rexahn’s business affairs, financial position and contractual rights and obligations.  Based on such evaluation and review, as well as general economic, industry and market conditions existing at the time, Rexgene may consider from time to time various alternative courses of action.  Such actions may include the acquisition or disposition of Common Stock or other securities through open market transactions, privately negotiated transactions, or otherwise.  Except as set forth herein, Rexgene has no present plans or proposals that relate to or that would result in any of the actions specified in clauses (a) through (j) of Item 4 of this Amendment No. 1.  Notwithstanding the foregoing, Rexgene reserves the right to effect any such actions as it may deem appropriate in the future.

Item 5.
Interest in Securities of the Issuer.

Item 5 is hereby supplemented as follows:

(a)           Rexgene beneficially owns 5,433,949 shares of Common Stock, including 244,898 shares of Common Stock subject to purchase upon exercise of warrants.  Such shares constitute beneficial ownership by Rexgene of 8.48% of the outstanding Common Stock, based on information relating to the number of shares of Common Stock outstanding on August 10, 2009 as set forth in the Quarterly Report on Form 10-Q filed by the Issuer on August 10, 2009.

(b)           Rexgene has sole voting and dispositive power with respect to all shares of Common Stock beneficially owned by it.

(c)           On June 5, 2009, Rexahn issued 238,095 shares to Rexgene without consideration in satisfaction of certain antidilution protections accorded to Rexgene in connection with its purchase from Rexahn of Common Stock and warrants in a private placement consummated in December 2007.  On June 5, 2009, Rexahn also issued to Rexgene, without consideration in satisfaction of such antidilution rights, presently exerciseable warrants to purchase an additional 102,041 shares of Common Stock at an exercise price of $1.05 per share.

During the period from September 3, 2009 to September 9, 2009, Rexgene sold a total of 555,000 shares of Common Stock in open market transactions.  Schedule A hereto sets forth the trading dates, number of shares purchased and sold and price per share for all transactions in the Common Stock by Rexgene in the past 60 days (other than the shares issued to Rexgene as described in the preceding paragraph).

(d)           No person is known to have the right to receive or the power to direct the receipt of dividends from, or the proceeds from the sale of, shares of Common Stock held by Rexgene other than Rexgene.

(e)           Not applicable.
