Explanatory Note

This Amendment No. 1 to the Statement on Schedule 13D (this “Amendment No. 1”) is being filed with respect to the common stock, par value $0.001 per share (the “Common Stock”), of Sanara MedTech Inc., formerly Wound Management Technologies, Inc., a Texas corporation (the “Company”), to amend and supplement the Statement on Schedule 13D filed by S. Oden Howell, Jr. (the “Reporting Person”) on February 25, 2019 (the “Original Schedu le 13D”). All capitalized terms contained herein but not otherwise defined shall have the meanings ascribed to such terms in the Original Schedule 13D. 
 
The Reporting Persons are filing this Amendment No. 1 to reflect their respective ownership of Common Stock following the previously announced 1-for-100 reverse stock split of the Company's issued and outstanding shares of common stock that became effective at the commencement of trading on May 10, 2019. Except as set forth herein, all Items are unchanged.
