Item 1. Security and Issuer.

The class of equity securities to which this statement (the “Statement”) relates is the common stock, par value $0.001 per share (the “Common Stock”) of Invisa, Inc., a Nevada corporation (the “Issuer”). The Issuer’s principal executive offices are located at 1800 2nd Street, Suite 965, Sarasota, Florida 34236.
 
Item 2. Identity and Background.

(a)           The persons filing this Statement are Centurian Investors, Inc., a Delaware corporation, and Howard R. Curd, a natural person, (“Centurian”, Centurian and and Mr. Curd being referred to jointly as the “Reporting Persons”).

(b)           The business address of Centurian is 1800 2nd Street, Suite 970, Sarasota, Florida 34236, and the business address of Mr. Curd is 1800 2nd Street, Suite 970, Sarasota, Florida 34236.

(c)           Mr. Curd’s present principal occupation is Chief Executive Officer of Uniroyal Engineered Products, LLC a privately held manufacturing company with executive offices located at 1800 2nd Street, Suite 970, Sarasota, Florida 34236.  Mr. Curd is the sole shareholder of Centurian,  The  principal business of Centurian has been extending loans to Invisa since 2007, in order to enable Centurian to continue its operations.   Centurian is controlled by Mr. Curd.

(d)-(e)     During the last five years, neither Reporting Person has been (A) convicted in a criminal proceeding (excluding traffic violations or similar misdemeanors) or (B) a party to a civil proceeding of a judicial or administrative body of competent jurisdiction and as a result of such proceeding was or is subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws or finding any violation with respect to such laws.

(f)            Centurian is a Delaware corporation.   Mr. Curd is a citizen of the United States of America.

Item 3. Source and Amount of Funds or Other Consideration.
 
As disclosed in the Quarterly Report on Form 10-Q filed by the Issuer for the quarter ended September 30, 2010, the Issuer and Centurian agreed that the Issuer could repay $300,000 of the principal amount of the senior debt of the Issuer held by Centurian through the issuance by the Issuer to Centurian of the 34,090,909 shares of the Common Stock of the Issuer as to which this Schedule 13D is being filed. Accordingly, the acquisition of the shares has been financed through reduction of the Issuer’s debt.

Item 4. Purpose of Transaction.
 
As part of the Issuer’s ongoing restructuring of its Balance Sheet, the Reporting Persons acquired the Issuer’s Common Stock as described in Item 3 above, in order to permit the Issuer to reduce its senior debt. The Reporting Persons have made no proposals, and entered into no agreements, which would be related to or would result in any of the events or matters described in sections  (a) through (j) of Item 4 of the instructions to Schedule 13D.

Item 5. Interest in Securities of the Issuer.

(a)          For purposes of Rule 13d-3 promulgated under the Exchange Act, Centurian beneficially owns and controls 34,090,909 shares of the Issuer’s Common Stock held by Centurian, representing 49.23% of the outstanding shares of the Issuer’s Common Stock.   Centurian also has contingent ownership of an additional 19,242,424 shares of the Common Stock of the Issuer, which shares have been pledged by the issuer to secure the remaining $ 432,021 principal amount of senior debt of the Issuer held by Centurian.  Mr. Curd owns and controls the shares held by Centurian because he is the sole shareholder of Centurian.   Members of Mr. Curd’s family   and affiliated entities also hold 7,000 shares of the Class C Preferred Stock of the Issuer, as to which shares Mr. Curd disclaims beneficial ownership.  The shares of Class C Preffered are convertible into Common Stock at the rate of $0.12 per share.
 
(b)            Centurian has sole voting and dispositive power over 34,090,909 shares of the Issuer’s Common Stock.    As the sole shareholder of Centurian,  Mr. Curd has sole voting and dispositive power over the 34,090,909 shares of the Issuer’s Common Stock.

(c)            Other than the transaction described Item 3 above, the Reporting Persons have not been involved in any transactions involving the securities of the Issuer in the last 60 days.

(d)            Except as otherwise indicated above, no other persons are known that have the right to receive or the power to direct the receipt of dividends from, or the proceeds of sale of, such securities.

(e)            Not applicable.
