Ms. Fu is employed as a manager of Cangbao Tianxia (Shanghai) Cultural Relic Co., Ltd.,

During the past five years, the reporting person has not been convicted in a criminal proceeding (excluding traffic violations or similar misdemeanors).

During the past five years, the reporting person has not been party to a civil proceeding of a judicial or administrative body of competent jurisdiction, and is not subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws, or any violation with respect to such laws.


(f)

 Ms. Fu is a citizen of the People’s Republic of China.


ITEM 3.  

SOURCE AND AMOUNT OF FUNDS OR OTHER CONSIDERATIONS.


In connection with the Share Exchange Agreement, the Issuer issued 75,000,000 shares of common stock to the Cayman Company Shareholders, in exchange for 100% of the issued and outstanding shares of Cayman Company from the Cayman Company Shareholders, which resulted in Cayman Company becoming the Issuer’s wholly owned subsidiary. The Reporting Person received 15,000,000 common shares in connection with the consummation of the share exchange.

  

ITEM 4.  

PURPOSE OF TRANSACTION.


The Reporting Person received 15,000,000 common shares of the Issuer in connection with the consummation of the transactions contemplated by the Share Exchange Agreement, as discussed in Item 3 above. The purpose of the share exchange was to permit the Issuer to acquire the Cayman Company.


ITEM 5.  

INTEREST IN SECURITIES OF THE ISSUER.


(a)

The reporting person owns 15,663,849 of the Issuer’s 110,319,245 issued and outstanding common shares, 14.2%.

(b)

The reporting person has sole voting and sole power to dispose of or direct the disposition of the shares.  

(c)

The reporting person received the shares as of July 27, 2020.

(d)

 No other person has rights with respect to the shares owned by the reporting person.
