Explanation of Responses:
( 1 )On November 6, 2020, the reporting person caused the Trust to distribute 37,424 shares of Company common stock held in IRA to beneficiaries of the Trust. The reporting person received 9,356 shares of Company common stock in connection with such distribution.

( 3 )Represents unvested time-based restricted stock award granted on April 1, 2020, which shall vest over 3 years in one-third increments, beginning April 1, 2021, and on each anniversary thereafter, subject to continued employment.
( 4 )Represents unvested time-based restricted stock award granted on December 30, 2019, which shall vest over 3 years in one-third increments, beginning December 30, 2020, and on each anniversary thereafter, subject to continued employment.
