Explanation of Responses:
( 1 )Represents a grant to Mr. Pyatt of 38,835 restricted stock units ("RSUs"). The RSUs will vest in equal one-third increments on January 14, 2022, January 14, 2023 and January 14, 2024, based on Mr. Pyatt's continued employment through each vesting date. Each RSU represents the right to receive one share of the Issuer's common stock upon vesting.
( 2 )Mr. Pyatt and his spouse are considered beneficial owners of the shares of common stock of the Issuer held by Pyatt Lending Company, LLC, as they share voting and dispositive power over such shares.
