( 1 )Received in exchange for 1 share of Class A Special Stock of Myjojo, Inc., a Delaware corporation ("Ittella Parent"), pursuant to the Agreement and Plan of Merger, dated as of June 11, 2020, by and among Forum Merger II Corporation ("Forum") (and upon consummation of the business combination, the surviving "Issuer" as renamed "Tattooed Chef, Inc."), Sprout Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Forum, Ittella Parent, and Salvatore Galletti, in his capacity as the holder representative, as amended on August 10, 2020 by the First Amendment to the Agreement and Plan of Merger.
