( 1 )On December 1, 2019, the Tribune Publishing Company (the "Issuer") granted to Christopher Minnetian, a member of the Issuer's Board of Directors (the "Board"), 4,660 shares of restricted common stock. The shares of restricted common stock vest 100% on May 15, 2020, provided that Mr. Minnetian continues to serve on the Board through the earlier of (a) such vesting date or (b) the day immediately prior to the first annual meeting of stockholders of the Issuer following the grant date.
