( 1 )Represents shares of Class B Common Stock converted into shares of Class A Common Stock at the option of the reporting person.
( 2 )Represents the sale of shares to cover tax withholding obligations in connection with the settlement and release of restricted stockunits ("RSUs") granted by the issuer to the reporting person.
( 3 )The reported price in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $12.38 to$12.67 per share, inclusive. The reporting person undertakes to provide to the issuer, any security holder of the issuer, or the staff of theSecurities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within therange set forth in this footnote.
( 4 )Represents the settlement and release of RSUs granted by the issuer to the reporting person which were subsequently converted to Class A Common Stock and sold to cover tax withholding obligations. Each RSU represents a contingent right to receive one share of issuer's Class B Common Stock.
