Explanation of Responses:
( 1 )Vesting and release of RSUs granted to the reporting person on July 31, 2019.
( 2 )Each RSU represents a contingent right to receive 1 share of the Issuer's Common Stock upon settlement for no consideration.
( 3 )Exempt transaction pursuant to Section 16b-3(e) - payment of exercise price or tax liability by delivering or withholding securities incident to the receipt, exercise or vesting of a security issued in accordance with Rule 16b-3. All of the shares reported as disposed of on this Form 4 were relinquished by the Reporting Person and cancelled by the Issuer in exchange for the Issuer's agreement to pay federal and state tax withholding obligations of the Reporting Person resulting from the settlement of vested RSUs. The Reporting Person did not sell or otherwise dispose of any of the shares reported on this Form 4 for any reason other than to cover required taxes.
( 4 )Shares directly held by the Cole Family Holdings, LLLP, of which the Reporting Person is a trustee and may be deemed to share voting and dispositive power over these shares.
( 5 )The RSUs vest quarterly on the last day of each of the full three (3) month periods (the "Quarterly Vesting Date") following July 31, 2019 at the rate of 37.50% for the first Quarterly Vesting Period, 31.50% for the second Quarterly Vesting Period and 15.50% for each of the third and fourth Quarterly Vesting Periods, subject to reporting person's continued service.
