( 1 )Shares of common stock issued pursuant to the Huntington Ingalls Industries, Inc. 2012 Long-Term Incentive Stock Plan ("Plan"), in an exempt transaction pursuant to Rule 16b-3. After the Reporting Person has accumulated a combination of restricted stock units and/or shares of common stock equal to at least five times the cash portion of their annual retainer, the Reporting Person may elect annually to receive and directly own common stock, rather than receiving a credit for restricted stock units.
( 2 )Represents vested restricted stock units credited to the Reporting Person's account pursuant to Huntington Ingalls Industries, Inc.'s 2011 and 2012 Long-Term Incentive Stock Plans.
