( 1 )Represents shares of common stock, par value $0.0001 per share (the "Common Stock") of fuboTV Inc. (the "Company") purchased by Waverley Capital, L.P. ("Waverley Capital") from the underwriters in connection with the registered public offering of shares of Common Stock of the Company at the public offering price of $10.00 per share pursuant to a final prospectus dated October 9, 2020, which offering closed on October 13, 2020. ( 2 )Dr. Leff does not own these shares in his individual capacity. These shares are owned directly by Waverley Capital. The general partner of Waverley Capital is Waverley Capital Partners, LLC. Dr. Leff, as a managing member of Waverley Capital Partners, LLC, may be deemed to have shared voting and investment power with respect to these securities.
