( 1 )Pursuant to the Assignment and Assumption Agreement, dated as of December 26, 2018 (the "Common and Preferred Stock Assignment and Assumption Agreement"), by and among The Varde Skyway Master Fund, L.P. ("Skyway Fund"), The Varde Skyway Mini-Master Fund, L.P. ("Mini-Master") and The Varde Skyway Fund, L.P. ("Varde Skyway Fund"), Skyway Fund assigned all of the Skyway Fund's rights and interest in and to the Securities Purchase Agreement, dated as of January 30, 2018 (the "Securities Purchase Agreement"), by and among the Issuer and The Varde Fund XI (Master), L.P.
