Explanation of Responses:
( 1 )Pursuant to a Company option cancellation program, and by mutual agreement of the Reporting Person and the Company, each vested and outstanding option to purchase common stock of the Company held by the Reporting Person was cancelled in exchange for a cash payment to the Reporting Person. The Reporting Person received $79,560 as consideration for the cancellation, an amount arrived at by multiplying (i) the number of options cancelled by (ii) the Company's stock price on February 21, 2020, less the exercise price of such options.
( 2 )This amendment is being filed to restate the Reporting Person's Form 4 reporting the cancellation of certain stock options on February 24, 2020. In addition to the securities stated on this amendment, the original filing inadvertently reported the cancellation of 6,000 stock options that became exercisable on June 30, 2015 and 6,000 stock options that became exercisable on June 13, 2016, when those options were not cancelled and remain outstanding.
