The restricted stock units vest on the date that is the earlier of (a)July 31, 2020 and (b)the date of the 2020 Annual Meeting of Stockholders, but shall vest earlier upon a change in control, in each case subject to the Reporting Person's continuous service through the applicable vesting date.
