( 1 )The employee stock option exercises and sales reported on this Form 4 were effected pursuant to a 10b5-1 trading plan adopted by the reporting person on August 30, 2011.
( 2 )All trades occurred within the following one dollar price range: $22.00 through $22.01. The reported price is the weighted average for trades within this range. The reporting person hereby undertakes to provide full information regarding the number of shares and prices at which the transactions were effected upon request to the SEC staff, the issuer, or a security holder of the issuer.

( 4 )This stock option vested as to 6,788 shares of the total 16,260 granted shares (adjusted for Polycom's 2-for-1 stock split effective July 1, 2011) on the 12-month anniversary of the March 15, 2005 grant date and monthly thereafter in equal installments over the remaining 33 months until fully vested on December 15, 2007.

( 6 )Restricted Stock Units are converted on a one-for-one basis into shares of Polycom, Inc. common stock following vesting, which vesting for 2,500 shares occurred on 2/20/2012. This award is now fully vested.
( 7 )These Performance Shares awarded on February 20, 2009 were converted into shares of Polycom, Inc. common stock following vesting, which vesting for 1,950 shares occurred on February 20, 2012. The unvested award previously reported was at the target award level. This award is now fully vested.
