Explanation of Responses:

( 1 )The Reporting Person caused these shares to be transferred from the Howard S. Jonas 2017 Annuity Trust in substantially equal amounts to eight newly-created trusts for the benefit of eight of his children. Each of the recipient trusts has a separate independent trustee. ( 2 )These shares are held in trust for the benefit of the Reporting Person's children. The Reporting Person's spouse is the trustee of the trust. Howard Jonas disclaims beneficial ownership of these shares. ( 3 )As of March 31, 2020.
