Explanation of Responses:
( 1 )Mr. Hevia exercised 27,000 Incentive Stock Options that were set to expire on March 19, 2014. Mr. Hevia exchanged 9,465 shares of NAPCO stock he presently owned, as payment for the exercise of the aforementioned 27,000 stock options. In addition, Mr. Hevia sold 12,500 shares of NAPCO stock that he presently owned, approximately 9,500 of which were used to cover associated taxes as a result of the stock option exercise. The end result of these transactions is, Mr. Hevia owns 5,035 additional shares or total shares of 190,192.
( 2 )Stock options were awarded on March 19, 2004 and were exercisable at 20% per year, commencing on March 19, 2004. These stock options have a 10 year life and were due to expire on March 19, 2014.
