Explanation of Responses:
( 1 )Represents awards of (i) 32,404 restricted stock units in lieu of cash bonus earned for 2022, which vested in full on March 3, 2023 and were settled in shares of the Issuer's common stock upon vesting, and (ii) 210,000 restricted stock units, of which twenty-five percent will vest on February 20, 2024, with the remainder vesting in twelve equal quarterly installments on the 20th day of the second month of each quarter of the calendar year. The restricted stock units were granted pursuant to the Issuer's 2020 Incentive Award Plan.
( 2 )Reflects shares sold by the Reporting Person pursuant to a pre-determined election in order to cover tax withholding obligations incurred in connection with the vesting of restricted stock units.
( 3 )Includes 497,356 restricted stock units and 2,000 shares purchased by the Reporting Person pursuant to the Issuer's 2020 Employee Stock Purchase Plan at a price equal to 85% of the closing price of Issuer's Common Stock on March 6, 2023.
