Explanation of Responses:

( 1 )As set forth in the Company's August 11, 2014 Form 8-K, pursuant to the terms of the Contribution Agreement, in consideration for the issuance of 3,000,000 shares of common stock in the Company to Yilaime, Yilaime contributed to the operations of the Company certain assets previously acquired by Yilaime through an Intellectual Property Assignment Agreement between Alton Perkins, as Assignee, and Yilaime, as Assignor, which was attached as Exhibit A to the Assignment Agreement. The intent of the parties in executing and performing under the Contribution Agreement is to effectuate tax-free transfer of assets into the Company pursuant to Section 351 of the United States Tax Code.
