Explanation of Responses:

( 1 )The Reporting Person acquired 13,134,420 shares of the Issuer's common stock in exchange for a $54,478.01 reduction in the amount the Issuer owes the Reporting Person under certain promissory notes. The transaction was documented with a Stock Purchase Agreement and was completed in order to assist the Issuer in complying with the closing conditions of an Asset Purchase Agreement with IDTEC, LLC.
