( 1 )The reporting person acquired the shares from the issuer in exchange for cancellation of promissory notes with an aggregate outstanding amount of principal and accrued interest of $1,551,000, equivalent to $3.30 per share of common stock acquired in the transaction.
( 2 )There was no cash exchanged for the common stock. The consideration provided was equity issued by an entity not affiliated with the issuer with a value equivalent to $3.30 per share of common stock disposed of in the transaction.
