( 1 )This form reflects increases in beneficial ownership resulting from exempt acquisitions under a Dividend Reinvestment Plan (''DRIP'') pursuant to Rule 16a-11.
( 2 )Options to purchase shares of common stock vest at a rate of 20% per year commencing on August 17, 2007. Also includes an equal number of stock appreciation rights. Stock appreciation rights are granted in tandem with the options granted and the exercise of one will cause the cancellation of the other.
